1. Introduction

Welcome to the Speedo Bikes Ltd Affiliate and Partner Program (“Program”).

These Terms (“Agreement”) govern participation in our affiliate and partnership program.

3. Program Overview

Once approved, affiliates receive a unique tracking link or discount code to share with potential customers.
When a user clicks your link or uses your code to make a purchase on our website, you earn a commission as described in these Terms.

The Program allows you to:

  • Promote our products using approved materials.

  • Earn commissions on qualifying sales.

  • Access reporting tools to track performance.

4. Commissions and Payments

  • You will earn a commission percentage (to be agreed individually) on all qualifying sales made through your affiliate link or code.

  • Commissions are calculated on the net sale value (excluding VAT, discounts, refunds, and shipping costs).

  • Payments are made monthly via bank transfer or PayPal, provided your total commission exceeds the minimum payout threshold (e.g., £25).

  • If a customer cancels or returns an order, the related commission will be reversed or deducted from future payments.

We reserve the right to adjust commission rates or structures with prior written notice.

5. Affiliate Obligations

Affiliates agree to:

  • Promote Speedo Bikes Ltd in an honest, ethical, and professional manner.

  • Use only approved marketing materials (logos, banners, product images, etc.).

  • Avoid misleading claims, false advertising, or spam practices.

  • Clearly disclose the affiliate relationship in accordance with UK Advertising Standards Authority (ASA) and FTC guidelines (e.g., “I may earn a commission for purchases made through my links”).

Affiliates may not:

  • Use paid ads that directly compete with our brand name (“Speedo Bikes Ltd”) or domain.

  • Misrepresent themselves as part of our company.

  • Offer unauthorized discounts or incentives.

  • Engage in fraudulent, deceptive, or illegal activity.

Violations may result in immediate termination and forfeiture of pending commissions.

6. Intellectual Property

We grant you a non-exclusive, revocable license to use our brand name, trademarks, and promotional materials solely for affiliate marketing purposes.

You must not:

  • Alter, modify, or misuse our brand assets.

  • Register or use domains or social handles that include “Speedo Bikes Ltd” or similar names.

  • Use our trademarks in any way that damages our reputation or misleads customers.

All intellectual property remains the exclusive property of Speedo Bikes Ltd.

7. Term and Termination

This Agreement begins upon approval of your affiliate account and continues until terminated by either party.

Either party may terminate the relationship at any time, for any reason, with written notice.

Upon termination:

  • All promotional rights and licenses are revoked.

  • Outstanding valid commissions will be paid in the next scheduled payment cycle.

  • You must remove all links, codes, and branded materials from your platforms.

8. Confidentiality

Affiliates may receive confidential information about our products, prices, or marketing strategies.
You agree to:

  • Keep all such information strictly confidential.

  • Not disclose, reproduce, or share it with third parties.

This obligation continues even after termination of this Agreement.

9. Liability and Indemnification

  • Speedo Bikes Ltd is not responsible for indirect, incidental, or consequential damages arising from participation in the Program.

  • Our total liability will not exceed the total commission paid to you in the previous 12 months.

  • You agree to indemnify and hold harmless Speedo Bikes Ltd from any claims, damages, or losses resulting from your participation in the Program or breach of these Terms.

10. Relationship of the Parties

Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between you and Speedo Bikes Ltd.
Affiliates are independent contractors, responsible for their own taxes, expenses, and legal compliance.

11. Modifications

We may revise or update these Terms at any time.
Notice of material changes will be sent by email or posted on our website.
Continued participation in the Program after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

This Agreement is governed by and construed in accordance with the laws of England and Wales.
Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
